The Logo Usage Guidelines (“the Guidelines”) establish basic rules regarding the use of Forum Engineering Inc. (“the Company”) logos, including those of the Company’s name, as well as trademarks, emblems and service name logotypes (referred to collectively as “Company Logos”) of the various services provided by the Company, such as cognavi (“Company Services”).

All rights (including copyrights, trademark rights, etc.) in relation to Company Logos are the property of the Company.

Company Logos may not be used without the Company’s permission. Those who wish to use Company Logos may do so only with permission from the Company, provided that their use is within the scope of the purposes set forth in the Guidelines and that such use complies with the Guidelines.
Any person who uses Company Logos with permission from the Company (“the User”) shall be deemed to have agreed to the Guidelines when using Company Logos.

The User may use Company Logos as specified by the Company only in the following cases:

• To introduce Company Services
• When partnering with the Company or for plans related to this
• Other cases approved by the Company

When using Company Logos, the User is prohibited from:

• Using Company Logos for purposes other than those established in the preceding article, unless otherwise authorized by the Company
• Modifying, adding to or altering Company Logos (including the addition of animations or effects [rotating, embellishing, etc.], as well as changes to spacing, fonts and color scheme)
• Using Company Logos as part of another company’s product name, service name, trademark, logo, company name, etc.
• Using Company Logos in a manner that suggests or implies there is any kind of employment relationship or partnership, etc. with the Company, unless otherwise authorized by the Company.
• Using Company Logos in a manner that suggests or implies approval, sponsorship or endorsement by the Company, unless otherwise authorized by the Company.
• Using Company Logos in a manner that may libel or harm the reputation of the Company or Company Services
• Using Company Logos in a manner that violates copyright or other laws and regulations
• Using Company Logos in media with content related to Anti-Social Forces or content that is offensive or contrary to public order and morals.
• Allowing a third party to use Company Logos, unless otherwise authorized by the Company
• Creating or using logos that imitate Company Logos or logos that resemble Company Logos
• Using Company Logos in any other manner that the Company, at its sole discretion, deems inappropriate

If the Company determines that a User’s use of Company Logos is in violation of the Guidelines, or if the Company deems it necessary at its sole discretion, the Company may request that the User cease its use of Company Logos or take other measures that the Company deems necessary and appropriate, and the User shall comply with such without delay. If the User does not comply with the Company’s request, the Company may take measures deemed necessary by the Company.
In the event that the Company has suffered any direct or indirect damages (including attorney fees) arising from the use of Company Logos by the User (including cases where the Company has received a claim from a third party due to such use), the User must without delay indemnify the Company against such in accordance with the Company’s request.
In the event that the User has received a claim or other demand from a third party arising from, or in connection with, the use of Company Logos, the User must promptly contact the Company.

The Company does not warrant, implicitly or explicitly, against physical or legal defects of Company Logos (including, but not limited to, defects, errors or bugs in relation to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, or security, etc., or infringement upon the rights of any third party). The Company undertakes no obligation to remove such defects in providing Company Logos.
The Company will not be in any way responsible for any damages that may be incurred by the User arising from the use of Company Logos.

The Company may change the Guidelines at any time without prior notice if the Company deems it necessary. The revised Guidelines shall become effective from the point at which they are posted on the Company’s website, and the User shall be deemed to have agreed to the revised Guidelines by continuing to use the Company Logos after the change.

These Guidelines are governed by the laws of Japan.

The Tokyo District Court shall be the exclusive court of first instance with respect to all disputes between the User and the Company arising from, or in connection with, the Company Logos.
